{"id":10666,"date":"2023-12-16T13:06:20","date_gmt":"2023-12-16T11:06:20","guid":{"rendered":"https:\/\/www.rm-assessors.cat\/noticies\/rm-assessors\/les-claus-de-la-successio-empresarial-en-lambit-laboral\/"},"modified":"2023-12-16T13:06:20","modified_gmt":"2023-12-16T11:06:20","slug":"les-claus-de-la-successio-empresarial-en-lambit-laboral","status":"publish","type":"post","link":"https:\/\/www.rm-assessors.cat\/en\/les-claus-de-la-successio-empresarial-en-lambit-laboral\/","title":{"rendered":"Les claus de la successi\u00f3 empresarial en l&#8217;\u00e0mbit laboral"},"content":{"rendered":"<h5>El canvi de titularitat d&#8217;una empresa no extingir\u00e0 per si mateix la relaci\u00f3 laboral, i el nou empresari quedar\u00e0 subrogat en els drets i obligacions laborals i de Seguretat Social de l&#8217;anterior.<\/h5>\n<p>El canvi de titularitat d&#8217;una empresa est\u00e0 regulat per l&#8217;article 44 de l&#8217;Estatut dels Treballadors (ET).<\/p>\n<h3><strong>Quines son les conseq\u00fc\u00e8ncies del canvi de titular de l&#8217;empresa, centre de treball o unitat productiva ?<br \/>\n<\/strong><\/h3>\n<ul>\n<li><strong>Subrogaci\u00f3 empresarial<\/strong>: Els drets i obligacions que dels treballadors seran transferits al nou titular.<\/li>\n<li><strong>No prevalen pactes contraris amb els treballadors<\/strong>: Les quitances signades amb l&#8217;empresari anteriors no tindran efic\u00e0cia excepte si s&#8217;acredita que les relaciona laborals es varen extingir abans de la transmissi\u00f3.<\/li>\n<li><strong>La subrogaci\u00f3 del nou titular \u00e9s total<\/strong>:\u00a0 Abasta qualsevol de les condicions de treball, siguin d&#8217;origen legal, reglamentaris, per conveni, contracte de treball i altres drets adquirits,<\/li>\n<li><strong>Responsabilitat<\/strong>: La nova empresa \u00e9s responsable de les conseq\u00fc\u00e8ncies d&#8217;una contractaci\u00f3 laboral fraudulenta atorgada per la seva antecessora.<\/li>\n<li><strong>Compromisos de pensions<\/strong>: El nou empresari s&#8217;ha de fer c\u00e0rrec dels compromisos de pensions que tinguessin els treballadors de conformitat amb la seva normativa espec\u00edfica, aix\u00ed com de les diverses formes de protecci\u00f3 social complement\u00e0ria que tinguessin reconegudes (assegurances de responsabilitat civil, vida, accident de treball, incapacitat temporal, ajudes, etc.)<\/li>\n<\/ul>\n<h3><strong>Quan s&#8217;ent\u00e9n que s&#8217;ha produ\u00eft el canvi de titular i la conseq\u00fcent successi\u00f3 ?<br \/>\n<\/strong><\/h3>\n<ul>\n<li><strong>Transmissi\u00f3<\/strong>: Es considerar\u00e0 que existeix successi\u00f3 d&#8217;empresa quan la transmissi\u00f3 afecti una entitat econ\u00f2mica que mantingui la seva identitat, entesa com un conjunt de mitjans organitzats a fi de dur a terme una activitat econ\u00f2mica, essencial o access\u00f2ria. S&#8217;ha de transmetre un conjunt d&#8217;elements patrimonials susceptibles d&#8217;explotaci\u00f3 econ\u00f2mica independent i capa\u00e7 d&#8217;oferir b\u00e9ns i serveis al mercat.<\/li>\n<li><strong>Forma de la transmissi\u00f3<\/strong>: La transmissi\u00f3 mitjan\u00e7ant actes entre vius es pot operar a trav\u00e9s de qualsevol negoci jur\u00eddic, sigui compravenda, arrendament d&#8217;ind\u00fastria, adquisici\u00f3 en subhasta p\u00fablica, usdefruit, trasp\u00e0s, donaci\u00f3, reversi\u00f3, fusi\u00f3 o absorci\u00f3, transfer\u00e8ncia d&#8217;organismes p\u00fablics, etc. L&#8217;important \u00e9s que prossegueixi la mateixa activitat empresarial, de manera que hi haur\u00e0 subrogaci\u00f3 encara que formalment es presenti tot com si hagu\u00e9s finalitzat la seva activitat la vella empresa i la nova no tingu\u00e9s res a veure amb ella.<\/li>\n<\/ul>\n<h3><strong>Responsabilitat solid\u00e0ria de tots dos empresaris<br \/>\n<\/strong><\/h3>\n<ul>\n<li><strong>Els dos responen durant tres anys<\/strong>: El cedent i el cessionari, en les transmissions fetes per actes entre vius, respondran solid\u00e0riament durant tres anys de les obligacions laborals nascudes amb anterioritat a la transmissi\u00f3 i que no haguessin estat satisfetes, incloses les de cotitzaci\u00f3 a la Seguretat Social.<\/li>\n<li><strong>Dret de repetici\u00f3:<\/strong> El nou empresari que es fa c\u00e0rrec dels deutes de l&#8217;anterior pot repetir contra aquest per via civil..<\/li>\n<\/ul>\n<h3><strong>Conveni col\u00b7lectiu aplicable<br \/>\n<\/strong><\/h3>\n<p>Excepte pacte en contra, establert una vegada consumada la successi\u00f3 mitjan\u00e7ant acord d&#8217;empresa entre el cessionari i els representants dels treballadors, les relacions laborals dels treballadors afectats per la successi\u00f3 es regiran pel conveni col\u00b7lectiu que en el moment de la transmissi\u00f3 fos aplicable en l&#8217;empresa, centre de treball o unitat productiva aut\u00f2noma transferida.<\/p>\n<p>Aquesta aplicaci\u00f3 es mantindr\u00e0 fins a la data d&#8217;expiraci\u00f3 del conveni col\u00b7lectiu d&#8217;origen o fins a l&#8217;entrada en vigor d&#8217;un altre conveni col\u00b7lectiu nou que resulti aplicable a l&#8217;entitat econ\u00f2mica transmesa.<\/p>\n<h3><strong>Representants dels treballadors<br \/>\n<\/strong><\/h3>\n<p>Quan l&#8217;empresa, el centre de treball o la unitat productiva objecte de la transmissi\u00f3 conservi la seva autonomia, el canvi de titularitat de l&#8217;empresari no extingir\u00e0 per si mateix el mandat dels representants legals dels treballadors, que continuaran exercint les seves funcions en els mateixos termes i sota les mateixes condicions que regien amb anterioritat.<\/p>\n<p>El cedent i el cessionari hauran d&#8217;informar amb la suficient antelaci\u00f3 als representants legals dels seus treballadors respectius afectats pel canvi de titularitat de les seg\u00fcents q\u00fcestions:<\/p>\n<ol>\n<li>Data prevista de la transmissi\u00f3.<\/li>\n<li>Motius de la transmissi\u00f3.<\/li>\n<li>Conseq\u00fc\u00e8ncies jur\u00eddiques, econ\u00f2miques i socials, per als treballadors, de la transmissi\u00f3, i<\/li>\n<li>Mesures previstes respecte dels treballadors.<\/li>\n<\/ol>\n<p>En cas que no hi hagi representants legals dels treballadors, el cedent i el cessionari hauran de facilitar la informaci\u00f3 esmentada als treballadors que poguessin resultar afectats per la transmissi\u00f3.<\/p>\n<p><a href=\"https:\/\/blog.rm-assessors.com\/wp-content\/uploads\/2017\/06\/RM_Assessors_Foto_19.jpg\"><img fetchpriority=\"high\" decoding=\"async\" class=\"size-medium wp-image-2201\" src=\"https:\/\/blog.rm-assessors.com\/wp-content\/uploads\/2017\/06\/RM_Assessors_Foto_19-300x200.jpg\" alt=\"\" width=\"300\" height=\"200\" \/><\/a><\/p>\n<h3><span style=\"color: #3366ff;\"><strong><em>Som assessors laborals i de la Seguretat Social.
