Aix\u00f2 s&#8217;articula a trav\u00e9s d&#8217;un protocol o un comprom\u00eds que reguli els diferents aspectes que poden afectar l&#8217;empresa familiar.<\/h5>\n<hr \/>\n<p>A mesura que se succeeixen les generacions, poden apar\u00e8ixer determinats problemes de &#8216;conviv\u00e8ncia&#8217; generats pels diferents interessos o expectatives que poden tenir les persones o fam\u00edlies propiet\u00e0ries del negoci o empresa familiar.<\/p>\n<p>No \u00e9s estrany trobar situacions derivades de l&#8217;inter\u00e8s per incorporar a algun familiar en el negoci, o per la disparitat de criteris entre els qui volen mantenir en marxa l&#8217;empresa i aquells que aposten per la seva venda.<\/p>\n<p>Si no es prenen les mesures adequades, aquestes difer\u00e8ncies quant a criteris, relacions i problemes familiars acaben passant factura a la marxa de l&#8217;empresa de manera inevitable.<\/p>\n<p>En les empreses familiars \u00e9s habitual que els socis signin un &#8220;protocol familiar&#8221;, en el qual s&#8217;estableixen regles per a evitar que les relacions familiars interfereixin en la marxa del negoci.<\/p>\n<p>\u00c9s molt important que les empreses familiars defineixin els seus objectius i la pol\u00edtica d&#8217;actuaci\u00f3 en diferents \u00e0rees, des de la relativa a l&#8217;estrat\u00e8gia de negoci com a la financera, passant per la inclusi\u00f3 o no de nous socis (familiars o estranys), aix\u00ed com la transmissi\u00f3 de l&#8217;empresa a futurs hereus.<\/p>\n<p>Per a evitar que aix\u00f2 succeeixi, i protegir aix\u00ed l&#8217;empresa de les relacions canviants en el si de la fam\u00edlia propiet\u00e0ria, \u00e9s important <strong>comptar amb un protocol o un comprom\u00eds<\/strong> que reguli els diferents aspectes que poden afectar una fam\u00edlia propiet\u00e0ria.<\/p>\n<h3>Alguns dels aspectes que es poden regular en un protocol familiar:<\/h3>\n<ul>\n<li>La gesti\u00f3 i administraci\u00f3 de l&#8217;empresa.<\/li>\n<li>Els requisits necessaris per a incorporar-se a l&#8217;empresa i per accedir als diferents llocs.<\/li>\n<li>Les regles aplicables enfront de c\u00f2njuges o familiars pol\u00edtics.<\/li>\n<li>Si l&#8217;empresa pertany a diverses fam\u00edlies, les normes aplicables per a mantenir l&#8217;equilibri entre les diferents branques<\/li>\n<li>L&#8217;entrada o sortida de socis<\/li>\n<li>La retribuci\u00f3 dels familiars treballadors.<\/li>\n<li>La manera de canalitzar les ofertes de compra del negoci.<\/li>\n<li>La gesti\u00f3 de les propietats immobili\u00e0ries de l&#8217;empresa.<\/li>\n<li>La forma i moment en qu\u00e8 es dur\u00e0 a terme la successi\u00f3 delegant la gesti\u00f3 en els successors<\/li>\n<li>Qu\u00e8 fer en cas de defunci\u00f3 d&#8217;un soci.<\/li>\n<li>Qualssevol altres pactes que pretenen solucionar situacions que, per la seva transcend\u00e8ncia, s\u00f3n susceptibles d&#8217;ocasionar conflictes futurs i fer perillar la continu\u00eftat de l&#8217;empresa.<\/li>\n<\/ul>\n<h3>Utilitat del protocol familiar:<\/h3>\n<ul>\n<li>El protocol obliga als qui el signen, per la qual cosa si algun soci l&#8217;incompleix els altres poden exigir judicialment el seu compliment (m\u00e9s una indemnitzaci\u00f3 pels danys i perjudicis que aquest incompliment hagi provocat). Per\u00f2 no poden anar m\u00e9s enll\u00e0 ni poden expulsar de la societat a l&#8217;incomplidor (que continuar\u00e0 sent soci i podr\u00e0 exercir els seus drets com a tal).<\/li>\n<li>Per a refor\u00e7ar l&#8217;efic\u00e0cia del protocol familiar \u00e9s aconsellable que introdueixin en els estatuts una prestaci\u00f3 access\u00f2ria per la qual s&#8217;obligui els socis a complir-lo.
