Nova regulaci\u00f3 de les obligacions i dels contractes\u00bb"},"content":{"rendered":"<p>En el Diari oficial de la Generalitat del passat 22 de febrer es va publicar la <span style=\"text-decoration: underline; color: #ff0000;\"><em><a style=\"color: #ff0000; text-decoration: underline;\" href=\"http:\/\/portaldogc.gencat.cat\/utilsEADOP\/PDF\/7314\/1591282.pdf\">Llei 3\/2017, del 15 de febrer<\/a>,<\/em><\/span> que aprova el Llibre Sis\u00e8 del Codi Civil de Catalunya i modificat els restants llibres del Codi Civil publicats fins el moment. Destaquem el seg\u00fcent:<\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"color: #800080; text-decoration: underline;\">Contractes que regula el Llibre VI\u00e9 del Codi Civil<\/span><\/span>:<\/p>\n<ul>\n<li>Compravenda<\/li>\n<li>Permuta.<\/li>\n<li>Mandat.<\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\"><span style=\"color: #800080; text-decoration: underline;\">Regulaci\u00f3 del contracte de compravenda<\/span><\/span>:<\/p>\n<ul>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Tipus de compravenda regulats<\/span>: Regula tant la compravenda general com la compravenda espec\u00edfica de consum.<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Bens futurs<\/span>: Permet que puguin ser objecte de compravenda\u00a0 els bens futurs i els que hagin de ser produ\u00efts, manufacturats o fabricats.<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Preu<\/span>;\n<ul>\n<li style=\"text-align: justify;\">No exigeix que es fixi inicialment el preu en el contracte.<\/li>\n<li style=\"text-align: justify;\">En la compravenda de consum estableix que en el preu s&#8217;ha d&#8217;entendre inclosos els tributs corresponents.<\/li>\n<\/ul>\n<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Venda a prova o assaig<\/span>; Incorpora la compravenda a prova o assaig i la caracteritza com una compravenda amb condici\u00f3 suspensiva.<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Deure d&#8217;informaci\u00f3<\/span>: Introdueix un deure d&#8217;informaci\u00f3 en benefici del comprador.<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Arres o paga i senyal<\/span>: Distingeix n\u00edtidament entre arres confirmat\u00f2ries i penitencials.<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Obligacions de les parts:<br \/>\n<\/span><\/p>\n<ul>\n<li style=\"text-align: justify;\">Pel que fa a les obligacions del venedor, b\u00e0sicament consisteixen a lliurar el b\u00e9, i tamb\u00e9 els seus accessoris i documents relacionats, a transmetre la titularitat del dret i a garantir que el b\u00e9 es conforme al contracte.<\/li>\n<li style=\"text-align: justify;\">En previsi\u00f3 de que les parts puguin pactar que el transport sigui a c\u00e0rrec del comprador o del venedor,\u00a0 distingeix entre la transmissi\u00f3 de la possessi\u00f3 de b\u00e9 i la seva posada a disposici\u00f3.<\/li>\n<li style=\"text-align: justify;\">Regula detalladament el temps i el lloc en que s&#8217;haur\u00e0 de lliurar el b\u00e9 i les conseq\u00fc\u00e8ncies de la negativa injustificada del comprador a rebre el b\u00e9. Estableix la regla general de transmissi\u00f3 dels riscos en el moment en que es lliuri el b\u00e9 o els documents que el representi<\/li>\n<\/ul>\n<\/li>\n<li><span style=\"text-decoration: underline;\">Reserva de domini<\/span>: Admet el pacte de reserva expressa de la titularitat del dret com a garantia.<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Obligaci\u00f3 de conformitat<\/span>:\n<ul>\n<li style=\"text-align: justify;\">Regula la obligaci\u00f3 de conformitat per tal d&#8217;aconseguir que el b\u00e9 lliurat permeti l&#8217;\u00fas que les parts hagin manifestat en el contracte.<\/li>\n<li style=\"text-align: justify;\">Es considera integrades en el contracte les manifestacions pr\u00e8vies del venedor en relaci\u00f3 a les caracter\u00edstiques del b\u00e9.<\/li>\n<li style=\"text-align: justify;\">En el cas de la compravenda de consum tamb\u00e9 es considera integrades en el contracte les manifestacions fetes per un tercer que hagi intervingut en la comercialitzaci\u00f3, la publicitat o l&#8217;etiquetatge dels bens<\/li>\n<li style=\"text-align: justify;\">L&#8217;incompliment de la normativa sobre instal\u00b7laci\u00f3 incorrecta o manca de lliurament dels accessoris i documents relacionats pot constituir manca de conformitat.<\/li>\n<li style=\"text-align: justify;\">Regula els remeis per manca de conformitat, tenint en compte el principi de preservaci\u00f3 del contracte.<\/li>\n<li style=\"text-align: justify;\">La responsabilitat per manca de conformitat ser\u00e0 de dos anys des del moment en que el b\u00e9 sigui lliurat, salvant el dret de tercers. En la compravenda de consum la manca de conformitat es podr\u00e0 manifestar en els sis mesos seg\u00fcents a la transmissi\u00f3 del b\u00e9.<\/li>\n<li style=\"text-align: justify;\">El comprador que pretengui rebutjar el b\u00e9 per manca de conformitat l&#8217;haur\u00e0 de conservar al seu c\u00e0rrec.<\/li>\n<\/ul>\n<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Pagament del preu<\/span>: Regula el lloc i el temps de pagament del preu.<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Desequilibri de les parts<\/span>: En el cas de greu desequilibri de les prestacions les parts podran instar la rescissi\u00f3 o l&#8217;adaptaci\u00f3 del contracte. Aquest dret sols es podr\u00e0 renunciar despr\u00e9s de la conclusi\u00f3 del contracte.<\/li>\n<li style=\"text-align: justify;\"><span style=\"text-decoration: underline;\">Compravenda immobili\u00e0ria<\/span>: Regula la facultat de desistiment del comprador pel cas que la previsi\u00f3 de finan\u00e7ament hagi quedat frustrada i la condici\u00f3 resolut\u00f2ria expl\u00edcita.<\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\"><span style=\"color: #800080; text-decoration: underline;\">Regulaci\u00f3 del contracte de permuta<\/span><\/span>:<\/p>\n<ul>\n<li>Es regula el contracte de permuta com a diferent de la compravenda i de la cessi\u00f3 de solar o aprofitament urban\u00edstic a canvi de construcci\u00f3 futura.<\/li>\n<li>S&#8217;estableix el mateix regim jur\u00eddic de la compravenda.<\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\"><span style=\"color: #800080; text-decoration: underline;\">Regulaci\u00f3 del contracte de mandat<\/span><\/span>:<\/p>\n<ul>\n<li>Inclou la regulaci\u00f3 de la gesti\u00f3 d&#8217;afers aliens que es presenta com una instituci\u00f3 residual respecte del mandat. Una vegada ratificada la gesti\u00f3 s&#8217;aplica les regles del mandat.<\/li>\n<li>Estableix disposicions generals comuns a tots els contractes de serveis, entenent els serveis en sentit ampli. Inclou: Contractes d&#8217;obra, de prestaci\u00f3 d&#8217;informaci\u00f3 i assessorament, de disseny de dip\u00f2sit o de mandat.<\/li>\n<li>Distingeix entre el poder, que dona una representaci\u00f3, i el contracte de mandat en que el mandatari assumeix alhora una obligaci\u00f3 d&#8217;actuar.<\/li>\n<li>Posa \u00e8mfasi en la gesti\u00f3 d&#8217;afers jur\u00eddics per enc\u00e0rrec del mandant i d&#8217;acord amb les seves instruccions.<\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\"><span style=\"color: #800080; text-decoration: underline;\">Lleis existents que queden integrades en la sistem\u00e0tica del Codi Civil<\/span><\/span>:<\/p>\n<ul>\n<li>Llei 6\/2000 de 29\/6, de pensions peri\u00f2diques.\n<ul>\n<li>Regula un nou contracte d&#8217;aliments.<\/li>\n<li>Regula el contracte de censal, amb l&#8217;objectiu innovador de readaptar aquesta instituci\u00f3 a la seva finalitat de finan\u00e7ament a llarg termini, com alternativa al pr\u00e9stec.<\/li>\n<\/ul>\n<\/li>\n<li>Llei 22\/2000 de 29\/12, d&#8217;acolliment de persones grans.<\/li>\n<li>Llei 23\/2001 de 31\/12, de cessi\u00f3 de finca o edificabilitat a canvi d&#8217;obra futura.<\/li>\n<li>Llei 2\/2005, de 4\/4, de contractes d&#8217;integraci\u00f3.<\/li>\n<li>Llei 1\/2008, de 20\/2, de contractes de conreu.\n<ul>\n<li>Regula un nou contracte de custodia del territori amb finalitats de protecci\u00f3 del patrimoni natural.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\"><span style=\"color: #800080; text-decoration: underline;\">Entrada en vigor<\/span><\/span>:<\/p>\n<ul>\n<li>L&#8217;entrada en vigor es produir\u00e0 el dia 1 de gener del 2018.<\/li>\n<li>Excepcionalment, les seg\u00fcents disposicions varen entrar el vigor el dia 1 de mar\u00e7 del 2017.\n<ul>\n<li>Disposici\u00f3 final 2\u00aa, apartat 1, sobre capacitat per exercir el dret de sufragi quan es declari la modificaci\u00f3 de la capacitat d&#8217;una persona.<\/li>\n<li>Disposici\u00f3 final 4\u00aa, apartat 11, sobre acceptaci\u00f3 d&#8217;her\u00e8ncia.<\/li>\n<li>Disposici\u00f3 final 6\u00aa, sobre els drets reals.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><a href=\"https:\/\/www.rm-assessors.cat\/wp-content\/uploads\/2015\/02\/juridica7_312432351.jpg\"><img fetchpriority=\"high\" decoding=\"async\" class=\"alignnone size-full wp-image-799\" src=\"https:\/\/www.rm-assessors.cat\/wp-content\/uploads\/2015\/02\/juridica7_312432351.jpg\" alt=\"juridica7\" width=\"658\" height=\"325\" srcset=\"https:\/\/www.rm-assessors.cat\/wp-content\/uploads\/2015\/02\/juridica7_312432351.jpg 658w, https:\/\/www.rm-assessors.cat\/wp-content\/uploads\/2015\/02\/juridica7_312432351-300x148.jpg 300w\" sizes=\"(max-width: 658px) 100vw, 658px\" \/><\/a><\/p>\n<p><em><strong><span style=\"color: #800080;\">Som advocats, consulteu-nos sense comprom\u00eds trucant al 972 426 004 o per correu electr\u00f2nic adre\u00e7at a juridic@rm-assessors.cat<\/span><\/strong><\/em><\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>En el Diari oficial de la Generalitat del passat 22 de febrer es va publicar la Llei 3\/2017, del 15 de febrer, que aprova el Llibre Sis\u00e8 del Codi Civil de Catalunya i modificat els restants llibres del Codi Civil publicats fins el moment.
