{"id":7556,"date":"2018-01-04T18:47:49","date_gmt":"2018-01-04T16:47:49","guid":{"rendered":"https:\/\/www.rm-assessors.cat\/nova-regulacio-de-les-arres-en-el-contracte-de-compravenda-i-altres-modificacions-en-materia-dobligacions-i-contractes-en-el-dret-civil-catala\/"},"modified":"2018-01-04T18:47:49","modified_gmt":"2018-01-04T16:47:49","slug":"nova-regulacio-de-les-arres-en-el-contracte-de-compravenda-i-altres-modificacions-en-materia-dobligacions-i-contractes-en-el-dret-civil-catala","status":"publish","type":"post","link":"https:\/\/www.rm-assessors.cat\/es\/nova-regulacio-de-les-arres-en-el-contracte-de-compravenda-i-altres-modificacions-en-materia-dobligacions-i-contractes-en-el-dret-civil-catala\/","title":{"rendered":"Nova regulaci\u00f3 de les arres en el contracte de compravenda i altres modificacions en mat\u00e8ria d&#8217;obligacions i contractes en el dret civil catal\u00e0"},"content":{"rendered":"<p>El passat dia 22 de Febrer\u00a0 del 2017 es va publicar el\u00a0<a href=\"http:\/\/portaldogc.gencat.cat\/utilsEADOP\/PDF\/7314\/1591282.pdf\"><span style=\"color: #ff0000;\"><em><strong>llibre sis\u00e8 del Codi Civil de Catalunya<\/strong><\/em><\/span><\/a>\u00a0relatiu a les obligacions i contractes i que va entrar en vigor amb car\u00e0cter general el passat dia 1\u00a0de Gener de 2018.<\/p>\n<p>Per la llunyania d&#8217;aquella data, creiem convenient destacar alguns aspectes de la nova regulaci\u00f3 pel que fa als contractes de compravenda d\u2019immobles.<\/p>\n<p><span style=\"color: #ff0000;\"><strong>Nova regulaci\u00f3 de les arres:<\/strong><\/span> Es habitual que en els contractes de compravenda hi consti una cl\u00e0usula orientada a garantir el compliment del contracte, anomenada arres. Las arres poden ser confirmat\u00f2ries, penals o penitencials. Aquestes darreres, les penitencials, permeten que la part compradora es pugui desdir del contracte perdent les arres donades (es a dir, perdent la quantitat lliurada a compte del preu en concepte d&#8217;arres) i que tamb\u00e9 se&#8217;n pugui desdir la part venedora retornat a la compradora la quantitat rebuda en concepte d&#8217;arres m\u00e9s un import igual en concepte penalitzaci\u00f3 per l&#8217;incompliment. Ara s&#8217;ha introdu\u00eft la seg\u00fcent <strong>novetat<\/strong> en la regulaci\u00f3 de les arres.<\/p>\n<ul>\n<li><span style=\"color: #3366ff;\">Si es desitja que el desistiment del venedor comporti el pagament del doble del preu lliurat haur\u00e0 de pactar-se de forma expressa. En cas contrari\u00a0tota quantitat lliurada com a arres es considerar\u00e0 a compte del preu. Les arres penitencials hauran de ser pactades de forma expressa.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #ff0000;\"><strong>Deure d&#8217;informaci\u00f3<\/strong><\/span>: La nova regulaci\u00f3 tamb\u00e9 persegueix un equilibri m\u00e9s gran entre les parts. A aquest efecte s&#8217;ha introdu\u00eft les seg\u00fcents <strong>novetats<\/strong> en relaci\u00f3 al contracte de compravenda:<\/p>\n<ul>\n<li><span style=\"color: #3366ff;\">El venedor, abans de la conclusi\u00f3 del contracte, haur\u00e0 de facilitar al comprador la informaci\u00f3 rellevant sobre les caracter\u00edstiques del b\u00e9 tenint en compte els coneixements de les parts, les exig\u00e8ncies que resultin de la bona fe i l\u2019honradesa dels tractes.<\/span><\/li>\n<li><span style=\"color: #3366ff;\">El comprador, per la seva banda, sols podr\u00e0 exigir la reducci\u00f3 de preu en la compravenda per manca de conformitat en superf\u00edcie o mesura entre el pactat en el contracte i la realitat, quan\u00a0 la difer\u00e8ncia sigui superior al 10%.\u00a0Una difer\u00e8ncia, doncs, de menys del 10% quan el preu sigui fixat sobre la base de la superf\u00edcie de l\u2019immoble, no donar\u00e0 lloc a una modificaci\u00f3 proporcional d\u2019aquest.<\/span><\/li>\n<\/ul>\n<p><strong><span style=\"color: #ff0000;\">Desistiment del contracte per manca de finan\u00e7ament<\/span><\/strong>: Un punt absolutament nou es refereix a la\u00a0previsi\u00f3 de finan\u00e7ament per tercer<strong>\u00a0<\/strong>quan el finan\u00e7ament \u00e9s necessari per a formalitzar la compravenda d\u2019un immoble.\u00a0En aquests cas s&#8217;ha introdu\u00eft la seg\u00fcent <strong>modificaci\u00f3<\/strong>:<\/p>\n<ul>\n<li><span style=\"color: #3366ff;\">El comprador, excepte pacte en contrari,\u00a0podr\u00e0 desistir del contracte si justifica degudament la negativa de l\u2019entitat banc\u00e0ria a concedir el finan\u00e7ament. En aquest cas el venedor haur\u00e0 de retornar l\u2019import del preu que hagu\u00e9s estat lliurat.<\/span><\/li>\n<\/ul>\n<p><strong><span style=\"color: #ff0000;\">Resoluci\u00f3 del contracte si el comprador no paga la part de preu que en el seu cas s&#8217;hagu\u00e9s ajornat<\/span><\/strong>: En els contractes de compravenda amb pagament del preu ajornat, s&#8217;ha introdu\u00eft les seg\u00fcents <strong>novetats:<\/strong><\/p>\n<ul>\n<li><span style=\"color: #3366ff;\">Quan en el contracte de compravenda es pacti condici\u00f3 resolut\u00f2ria pel cas que el comprador no pagui la part del preu ajornada, el comprador podr\u00e0 resoldre el contracte i recuperar l\u2019immoble, per\u00f2 de forma pr\u00e8via haur\u00e0 de requerir al comprador mitjan\u00e7ant Acta Notarial, qui tindr\u00e0 un termini de 20 dies per efectuar el pagament, transcorreguts els quals el contracte quedar\u00e0 resolt.<\/span><\/li>\n<li><span style=\"color: #3366ff;\">Perqu\u00e8 la resoluci\u00f3 sigui efectiva la part impagada del preu ajornat inclosos els interessos,\u00a0ha de superar el 15% del preu \u00edntegre m\u00e9s els interessos.<\/span><\/li>\n<li><span style=\"color: #3366ff;\">Es pot establir que el venedor retingui les quantitats pagades pel comprador amb un m\u00e0xim de la meitat de la quantitat total que hagi hagut de percebre, d\u2019acord amb el contracte fins el dia de la resoluci\u00f3. Per procedir a la resoluci\u00f3 del contracte, la Llei estableix un mecanisme que inicia el Notari davant el Registre de la Propietat.<\/span><\/li>\n<\/ul>\n<p><a href=\"https:\/\/www.rm-assessors.cat\/wp-content\/uploads\/2015\/02\/juridica7_312432351.jpg\"><img decoding=\"async\" class=\"alignnone size-medium wp-image-799\" src=\"https:\/\/www.rm-assessors.cat\/wp-content\/uploads\/2015\/02\/juridica7_312432351-300x148.jpg\" alt=\"\" width=\"300\" height=\"148\" srcset=\"https:\/\/www.rm-assessors.cat\/wp-content\/uploads\/2015\/02\/juridica7_312432351-300x148.jpg 300w, https:\/\/www.rm-assessors.cat\/wp-content\/uploads\/2015\/02\/juridica7_312432351.jpg 658w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/a><\/p>\n<p><span style=\"color: #3366ff;\"><em><strong>Som advocats.
